By accessing, browsing, or using the Ali Hyper Agency Website Portal (the "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms"). If you do not agree, you must immediately cease all use of the Platform.

IMPORTANT – YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE PLATFORM IS PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE" WITH NO WARRANTIES OF ANY KIND.

1. Use of the Service

• You must be at least 18 years old (or the age of majority in your jurisdiction) and provide accurate, current, and complete information.
• The Platform may only be used for lawful purposes, including searching for or offering skilled services.
• You agree not to misuse the Platform, including harassment, spamming, unauthorized scraping, reverse-engineering, or any activity that imposes an unreasonable load on our systems.
• We reserve the right (but have no obligation) to monitor, suspend, or terminate any account or access at any time, for any reason or no reason, without notice or liability.

2. Accounts and Profiles

• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Service providers must accurately represent their qualifications, experience, availability, pricing, and any other material information.
• We do not verify, endorse, or guarantee the identity, qualifications, background, insurance, licensing, performance, or legitimacy of any user or professional.
• We may, but are not obligated to, suspend, disable, or permanently remove any account or content that we believe (in our sole discretion) violates these Terms or is otherwise objectionable.

3. Leads, Contacts & Transactions

• The Platform is solely a technology platform that allows users to submit leads/inquiries and enables contact/sharing of information between users and professionals.
• We act only as a neutral intermediary. We do not provide, perform, supervise, manage, guarantee, or have any involvement in any actual services, work, deliverables, or transactions.
• When you submit a lead or accept contact, your information may be shared with one or more professionals. Any subsequent communication, negotiation, contract, service delivery, payment, or dispute is exclusively between you and the professional(s) — we are not a party, agent, broker, employer, contractor, or fiduciary to any such relationship.
• We make no representation, warranty, or guarantee regarding response times, quality of responses, suitability of professionals, accuracy of profiles, successful outcomes, pricing fairness, safety, legality, or any other aspect of any interaction or service.

4. Content and User Conduct

• You are solely responsible for all content you post, transmit, or share.
• You may not post content that is false, misleading, defamatory, infringing, obscene, illegal, or violates any third-party rights.
• We may (but are not obligated to) review, remove, or disable access to any content at any time, for any reason, without notice or liability.

5. Intellectual Property

• All rights, title, and interest in the Platform, name, logo, design, software, trademarks, copyrights, and other intellectual property remain exclusively ours or our licensors.
• You are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform solely for its intended purpose during your permitted use. No other rights are granted.

6. Disclaimers – No Warranties

THE PLATFORM IS PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, OR AVAILABILITY OF ANY INFORMATION, SERVICES, OR RESULTS
• CONTINUOUS, UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE OPERATION

We do not warrant or represent that:

• Any professional is qualified, competent, insured, licensed, or trustworthy
• Any service will be performed satisfactorily, on time, or at all
• Any lead will result in a successful engagement
• The Platform will meet your requirements or expectations

You assume all risk arising from your use of the Platform and any interactions with other users.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALI HYPER AGENCY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

• DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR COVER DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM ANY TRANSACTION, SERVICE, DISPUTE, NEGLIGENCE, MISCONDUCT, OR ACT/OMISSION OF ANY THIRD PARTY (INCLUDING ANY PROFESSIONAL OR USER)

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF ANY LIABILITY IS FOUND (WHICH IS EXPRESSLY DISCLAIMED), OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (i) USD $100 OR (ii) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM (IF ANY).

The foregoing limitations apply regardless of the legal theory (contract, tort, strict liability, statute, or otherwise) and even if a remedy fails of its essential purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ali Hyper Agency and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your breach of these Terms
• Your violation of any law or third-party rights
• Any dispute, claim, or demand you have with any other user or professional

9. Changes to Terms

We may modify these Terms at any time. We will post the revised version and update the "Last updated" date. Continued use after changes constitutes acceptance. Material changes may be notified via prominent notice or email (where feasible), but you remain responsible for reviewing the Terms regularly.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tamil Nadu, India, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Coimbatore, Tamil Nadu, India.
